Phase 01

Introductory Meeting & Assessment

We begin with an introductory meeting to understand the company's business, objectives, and transaction timeline. The company completes standard know-your-client procedures and submits preliminary corporate information, which FMP uses to prepare a Preliminary Capital Markets Assessment of transaction readiness.

  • Introductory meeting and objective-setting
  • Know-your-client procedures
  • Preliminary corporate information request
  • Preliminary Capital Markets Assessment
Phase 02

Confidentiality & Engagement

Once both parties are ready to proceed, we establish confidentiality through a mutual non-disclosure agreement, present a term sheet outlining proposed scope and commercial terms, and formalize the relationship through an FMP Engagement Letter — and, where applicable, a legal engagement letter with the company's counsel.

  • Mutual non-disclosure agreement
  • Engagement term sheet
  • FMP Engagement Letter
  • Legal engagement letter (where applicable)
Phase 03

Institutional Assessment

With the engagement formalized, we conduct a detailed business, financial, legal, and capital markets assessment — reviewing corporate structure, financials, material contracts, and capital markets history to establish a complete diligence picture.

  • Business and financial due diligence
  • Legal and corporate structure review
  • Capital markets history assessment
  • Institutional Capital Markets Assessment Report
Phase 04

Strategy & Planning

We develop a recommended transaction strategy and implementation roadmap, establish the project governance structure, and confirm the framework the company and FMP will use to manage the engagement through execution.

  • Transaction Strategy Memorandum
  • Engagement Framework & Project Plan
  • Project governance structure
  • Commercial documentation (where applicable)
Phase 05

Execution

We prepare the implementation plan for the transaction — a detailed timeline, a roles-and-responsibilities matrix across all professional advisors, corporate structure recommendations, and a regulatory and capital markets roadmap — and coordinate execution through to completion.

  • Transaction timeline
  • Roles & Responsibilities Matrix
  • Corporate structure recommendations
  • Regulatory & capital markets roadmap
A Note on Sequence

This is FMP's default engagement path. The sequence may be adapted based on transaction complexity, sector-specific regulatory considerations, and commercial requirements determined jointly with the client at the outset of the engagement.
